  10. MANAGEMENT COMMITTEE
     
    10.1 The affairs of the Association shall be administered by a Management Committee of not more than twelve (12) and not less than seven (7) members, two (2) of whom shall be ex officio members.  Of the remaining members not less than five (5) and not more than ten (10) members shall be elected at the end of the Biennial General Meeting of the Association and the persons so elected shall serve for a period of two years whereafter they shall be eligible for re-election.  The ex officio members shall be non-voting members of the Management Committee
 
    10.2 More than 66% of the Management Committee shall be comprised of Deaf members
 
    10.3 The quorum of all Management Committee meetings shall be five (5) members
 
    10.4 The office bearers of the Association shall be a Chairman and Vice-Chairman who shall be elected at The Biennial General Meeting.  Any vacancy which may occur during an officer's term of office shall be filled by way of an election to be held at a Special General Meeting
 
    10.5 A Secretary, who shall be an employee of the Association, shall be be appointed by the Management Committee
 
    10.6 The Management Committee shall meet at least once a month.  Special Meetings may be called on seven (7) day's notice
 
    10.7 For the written exercise of any and all powers vested in the Association the signatures of the Chairman and/or the Vice-Chairman and/or any person designated by the Management Committee shall be necessary
 
    10.8 Any Management Committee member failing to attend three consecutive meetings without apologies shall automatically cease to be a member of the Management Committee
 
    10.9 Any Management Committee member not acting in the interest of the Association may be removed by a majority vote at a Special General Meeting of Members
 
    10.10 The Management Committee shall be entitled to create subcommittees with at least one member thereof being a member of the Management Committee
 
    10.11 The Management Committee shall have the power to appoint, dismiss and replace employees and to pay them in accordance with their employment contracts and general legislation
 
    10.12 No member of the Management Committee shall have a direct interest in or benefit from any contract which the Management Committee may conclude with any company unless such direct interest in disclosed in writing
 
    10.13 Unless the vacancy is one referred to in 10.4, the Management Committee shall have the right to co-opt members in the case of any vacancy arising in the membership of the Management Committee.  Due regard shall, however, be had to the provisions of 10.2  Co-opted members shall have full voting rights
 
    10.14 The Management Committee shall have the right to co-opt ex officio members who shall have no voting rights
